Upstanding HQ End User License Agreement

Effective July 31, 2026. This End User License Agreement ("Agreement") is between BP Roofing Ventures LLC, doing business as Upstanding Roofing ("Upstanding Roofing"), and the authorized individual using Upstanding HQ ("you"). By accessing or using Upstanding HQ, you agree to this Agreement. If you are not authorized by Upstanding Roofing or do not agree, do not access or use the application.

1. Private internal application

Upstanding HQ is a private operations, reporting and business-intelligence application for Upstanding Roofing. It is not offered for public consumer use or resale. Access is limited to personnel and approved service providers expressly authorized by Upstanding Roofing.

2. Limited license

Subject to this Agreement and your continuing authorization, Upstanding Roofing grants you a limited, revocable, nonexclusive, nontransferable and nonsublicensable license to access and use Upstanding HQ solely for legitimate Upstanding Roofing business purposes within the duties and permissions assigned to you. No ownership interest is transferred.

3. Accounts and security

You must use only your assigned account, protect authentication methods and credentials, and promptly report suspected unauthorized access. You may not share access, bypass role restrictions, obtain information beyond your assigned responsibilities, or allow another person to use your session. Activity may be logged and reviewed for security, compliance and operational purposes.

4. Acceptable use

You may not misuse Upstanding HQ; interfere with its operation; introduce malicious code; scrape, reverse engineer or attempt to extract source code except where applicable law expressly permits; circumvent security controls; use information for a personal or competing purpose; or access, disclose, copy, alter or delete company or third-party data without authorization.

5. Company and confidential information

Information available through Upstanding HQ may include confidential business, customer, employee, vendor, operational and financial information. You must use that information only for authorized company purposes and protect it in accordance with Upstanding Roofing policies, contractual obligations and applicable law. Your confidentiality obligations continue after your access ends.

6. QuickBooks Online connection

An authorized user may connect an Upstanding Roofing QuickBooks Online company through Intuit’s OAuth authorization process. You represent that you have authority to approve that connection and the requested permissions. Upstanding HQ uses the connection for internal reporting, reconciliation and analysis as described in the Upstanding HQ Privacy Policy. The current integration is designed for read-only reporting and does not intentionally write transactions back to QuickBooks Online.

7. Third-party services

QuickBooks Online and other connected services are provided by third parties and remain subject to their own agreements, availability, permissions and privacy practices. Upstanding Roofing does not control those services and is not responsible for their independent acts, outages or changes. Intuit, QuickBooks and associated marks belong to Intuit Inc. Upstanding HQ is not sponsored or endorsed by Intuit.

8. Ownership and feedback

Upstanding Roofing and its licensors retain all rights in Upstanding HQ, including its software, workflows, designs, documentation and company content. If you provide suggestions or feedback in your company role, Upstanding Roofing may use them without restriction or compensation, subject to applicable law.

9. Availability and changes

Upstanding Roofing may modify, suspend or discontinue any part of Upstanding HQ; change integrations or permissions; or restrict access when reasonably necessary for security, maintenance, compliance or business operations. We may provide notices through the application or company communication channels.

10. No accounting, tax or legal advice

Upstanding HQ organizes and displays business information but does not replace the underlying accounting records, signed agreements or professional advice. QuickBooks Online and approved company records remain authoritative for their respective purposes. Reports and forecasts should be reviewed by authorized personnel before material business decisions are made.

11. Disclaimer

To the fullest extent permitted by law, Upstanding HQ is provided "as is" and "as available." Upstanding Roofing disclaims implied warranties of merchantability, fitness for a particular purpose and noninfringement. Upstanding Roofing does not guarantee uninterrupted operation, error-free data, or continued availability of a third-party service. Nothing in this section limits rights that cannot lawfully be waived.

12. Limitation of liability

To the fullest extent permitted by law, Upstanding Roofing and its officers, employees, contractors and licensors will not be liable under this Agreement for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill or data, arising from use of or inability to use Upstanding HQ. This limitation does not apply where prohibited by law.

13. Suspension and termination

Your license ends immediately when your authorization or relationship requiring access ends, when Upstanding Roofing disables your account, or when this Agreement is terminated. Upstanding Roofing may suspend or terminate access for suspected misuse, security risk, policy violation or business need. Upon termination, you must stop using Upstanding HQ and return or securely delete company information in your possession as directed. Provisions concerning confidentiality, ownership, disclaimers, liability and governing law survive termination.

14. Governing law

This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute that cannot be resolved informally will be brought in a court of competent jurisdiction in Harris County, Texas, unless applicable law requires otherwise.

15. Changes and entire agreement

Upstanding Roofing may update this Agreement by posting a revised version and changing its effective date. Continued use after an update constitutes acceptance to the extent permitted by law. This Agreement, the Upstanding HQ Privacy Policy, applicable company policies and any signed agreement governing your role constitute the agreement applicable to your use of Upstanding HQ. If they conflict, a signed agreement or mandatory company policy controls to the extent of that conflict.
